I believe she stepped in less than 50% of the year, but I start with that. Thank you to everyone advice.

Replying to the original question.

Our board has 2-year terms of office. Individuals are limited to 2 consecutive terms in any one office.

If someone leaves the board during their term, we have a procedure to fill the position for the remainder of the term.

Our Charter states that if the remainder of the term is more than 50% of the 2-year term, then that counts as the first full term for the replacement and therefore the replacement can be elected to only 1 more 2-year term.

If the remainder is less than 50% then the term does not count as a full term and the replacement is eligible to be elected for 2 additional terms.

This post really bothers me and I don't see how it pertains to okaymom2 original question. A small PTO has small numbers as well as some bigger PTOs. If you were bullied, I'm sorry, but your post has really implyed some negative feelings.

ira - yes now i agree (from a non legal standpoint as i am not a lawyer) the nuance is as you stated IF one is a non profit corp etc. then in fact there ARE rules one MUST adhere to.
our PTO is independent, and NOT a non profit corp, so it is jsut a small group of individuals with a bank account and they make their own rules and as long as they file their taxes properly, they can do as they please ie ignore their own bylaws. at least, that is my understanding form all i have observed this year, and i have observed a lot (of rule bending). end of my story.
