I need bylaws so basic even my 7y old could run a pto!

Hi Guys -

I'm gonna close this thread. I won't delete, because there's some good info above, but there's really no "the bylaws" to send out.

Here's a link that will take you to a whole bunch of difft sample bylaws:

But do note that they are just samples. Each PTO is independent and is free -- after determining exactly how you want to run -- to set up as best fit.

The link thread has some dead links (as some web pages from school sites change), but by-and-large there are quite afew good links in there, too.

Two things:

First use the helpful resources here at PTOToday for much of what you all need here.

Next, Obtain Publication 557 from the IRS (also see useful resources on getting this).

To keepyour by laws simple, think simple. State the purpose for your organization (see publication 557, again). We do this in our preamble. Article 1 deals with the membership and rights of membership including ammending the charter (articles, by laws - whatever label you want). Article 2 deals with the officers and the elections thereof. Article 3 deals with the powers of the officers and their responsibilities. Article 4 deals with all the legal stuff contained in the IRS and our state guide (I havent mentioned this yet but I will), it also contains impeachment clause, and other housekeeping matters. Article 5 deals with when the charter goes into effect.

Now state requirements: Incorporate or not to incorporate the IRS does not require you to, to become a 501(c) if your state does not so check with your Sec of State or what ever office handles this. Also find out your state tax liability. Youe school board lawyers may be very helpful in this.

There is more than just the post on the dissolution that is required to be contained in your by laws depending upon your state laws so please get help with that part.

If you are looking to become tax exempt read carefully all of the above and expect to spend upwards of 200 hours on just learning the laws and preparing the documents correctly. As an example the IRS only requires two people with a vested interest in the organization to create the organization, but would that serve the purpose of a PTO? Also the language used to certify the by laws when signed is specific and they will reject your application if you dont use it. Another thing it costs $500 to file a 501(c)(3) application (there is an exception to this so read carefully).

One last thing here if you are creating a new organization because you cant deal with the past organizations lack of interest in doing all this, what are you going to do witht he assets of that prior organization? (This means you are creating a new organization which is what most PTO's do when finally getting around to doing all this).

I hope this helps those of you out there faced with all this.
