I would like to know who is able to vote at PTO meetings?

I attended a PTO meeting Tuesday night in which they were voting on new By-Laws( in which they did not even mention in there newsletter they were voting) and they basically voted without asking me as a parent to vote. I was a PTO president and always let my parents vote on each issue. They made the new by-laws up without consulting with any parents and I aked how much we made on the fall festival and could not get an answer. The banking has always been at the same bank for 12 years but when this husband and wife team took over they moved banks, then the wife is the president and the husband is the treasurer in which I am having a little trouble with. They only had 2 parents at the metting the other night and the teachers are staying back because of all the trouble it's like a click going on. Could someone please tell me how the voting works?
