Treasurer refuses to release funds

Why won't she pay the vendor? Is it just a lack of action or is she opposed to the purchase? The treasurer is a custodian, not the sole controller, of the money. Unless your bylaws specifically give the treasurer exclusive control of the money, she can't veto the decision. I'm not a lawyer, and I'm not trying to be an alarmist, but if the vendor sues your PTO for the money, the elected officers could held be personally liable too (at least that's the reason we were told to incorporate our PTO). Is it really worth it for her to drag this out?

Oh, just thought of something else...has anyone seen a bank statement since November? A reclusive treasurer is a red flag. Even if your other officers aren't authorized to sign checks, you should be able to get a copy of the latest (or last several) bank statements. I'd looking to be sure the money is still there. She may be completely trust-worthy, but stonewalling the payment of a legitimate bill casts a shadow of mistrust in my book.

Is the treasurer the only one that can write checks? In our PTO, all 4 officers are authorized. Go to the bank and check it out.

I don't know but do you have a vote on everything? If so then she was out voted. In our PTO, for this reason there are 3 people that can sign checks, 2 faculty reps and our treasure. If the treasure leaves, runs away, or tries to steal, which I hope never happens, but you never know, the reps are able to access the account. I would check into that. I would also get the school principal involved. There has to be some way to get her name off the account to get this vendor paid. When you do, I would dfferently get this person voted off the board. Let the general members know what is going on and you are holding a special meeting on this very subject and have a vote to get her off. I understand it is a small PTO but with some one like that, then the PTO is no good. Just some ideas.

When our Parent Organization met on a monthly basis we were always a small group at the meetings, usually the same 4 to 5 people. After we were told to dissolve we became even a smaller group, with 2 to 3 people attending those meetings. At our last meeting we voted to purchase the same item for all the students, spending the remaining funds. The item was ordered, purchased, silk screened, and delivered. This order can not be returned. The treasurer, who chose not to attend any of the meetings since November, is unwilling to pay the invoice and now the vendor is threatening to take us to court. My question: What right does the treasurer have to vote NO, when she chose not to attend the meetings? Isn't she obligated to pay the invoice for the item that we agreed to purchase?
