We are in the same boat as <full of questions>. We don't have many members, no money, and tired of giving all of our money to PTA and not getting much out of it. Can we do what was suggested earlier by Rockne and just become inactive...what else do we need to think about, as far as new accounts, numbers, etc. ?
We tried to switch last year, but the prez said the insurance was too much, she didn't give enough notice about the dissolving meeting, etc...I don't want to look like an idiot and make the same mistakes...

No flaming. At all. Curious as to why your principal wants you to go PTA. That's pretty unusual these days.
I also have a question on changing from a PTA to a PTO. Does every school in the district also have to change or could we be the only school to do it. We have 6 schools in the district, 3 elemantary, 1 intermediate, 1 middle and 1 high school. Also who would be needed to make this decision? Is it majority of the votes of the board members or of all the PTA members in the school? Thanks, Jeannette
Based on the information you gave, you'll be perfectly fine doing what you're doing.
A tip or two to make even more sure:
1. Open a separate bank account for the new PTO, new EIN number, etc.; don't just change the name of your existing account.
2. You may want your PTO bylaws to describe how your first officers are chosen and then how your first election takes place. if you just had an election, I'd imagine you'll be keeping those officers to run your PTO. That's fine, but you may want to formally mention in your PTO organbizing docs that: "Mss Jones and Smith and White are the initial board" and then spell out processes for nominating committee/elections for future years. Without that, it adds to impression that your PTA has just become your PTO, when in fact your PTO is all new.
