I would add, in the interim- do lots of research. This site is invaluable. (as are the people!!! ) Also, consider becoming a 501c3 nonprofit if you are planning on doing any type of fundraising. Start thinking about bylaws-granted these will be written by the group once you all get together, but read bylaws from other groups-see what you like & don't like. Have an idea of what YOU would like going in, because chances are not everyone will have ever even READ a set of bylaws. (I hadn't before we started to write ours)

Speak first with the administrator, then the staff. With their buy-in, a parent-group will succeed! Then send out an interest survey to parents (keep it simple), to find out who's interested, how they want the PTO to operate, what they think a PTO's goals should be, and how they're willing to get involved. I'd give yourself 2 or 3 months for planning time, maybe shooting for a January '07 launch. Then, kick it off with a fun family night (maybe a movie), and incorporate a short meeting during the event to let parents know what the plan will be. Good luck!
