Agree with President Jim. She is on her way out, so she has no right to block any progress of the PTO and in carrying out the bylaws as they are written. If you follow your bylaws, you are correct in your actions and are just trying to prepare for the upcoming school year.
Move forward with the election process, speak to her and let her know that you will be moving forward as per the bylaws. Also, be prepared to call the Board office of her response and actions to make the elections more difficult and thus creating a uncomfortable transition process. It may give her boss an indication of how she may make it difficult for her successor as well!

If the answer to both of these questions is yes, then I think you must act now to fix this issue. If you are not the President, or at least the highest acting officer (in the case that your group does not have a current President), then I believe that it is their job to work this out with the Principal.
More than likely, if your group has standard Bylaws, the Principal is overstepping her bounds in doing this. If she was not moving on I would say you need to be more careful in how you handle things since you and your group would need to live with her for years to come. But since she is leaving I say push the envelope. Have your President set up a sit down and try to figure things out. If she still tries to prevent things then I would recommend moving on, after informing her, to the Superintendant of Schools or the town's School Committee Leader.
You still need to be careful as depending on which position she's moving on to you may meet up with her in the future.

No...because of her, no one wants any of the positions. we would pursue it but she is putting up too many road blocks. I still haven't figured out why she is putting up so much fuss. I am sure it will come out.
Is she leaving this year, and wil there be a new Principal for next year? If that's the case, you would think she would want a solid Board in place ready for the next Principal. The last thing she would want as her legacy is a floundering PTO.
Does she know something about someone who is being nominated, that perhaps, due to confidentiality, she can't tell you- and this is the reason she is stalling the process?
The principal has been trying to control the group all year. SHe is an ex officio on the board. We have been trying to follow the bylaws in the nomination process but she has been putting up roadblocks along the way. She is on her way out- promoted to downtown, but still won't let go of the control. If a new board isn't elected, then I am not sure what will happen. It has been such a bad year, no one on the board is planning on staying on for next year.
