bylaws and unforseen expenses

Our PTO is going around about one bylaw we are trying to change. To get to the point we need something written which will help us if in the event only one board memeber is present at the event and an unforseen expense comes up which has not been budgeted. We have a limit of under $250 which is not an issue-oddly enough. The issue is whether the principal can be used as another person to make a decision. Of course there is that one person who thinks he shouldn't be. In fact this is what is being said. (The principal has no offical standing on the Board of the PTO) Which is true in our case, however what do you do if something comes up and only one board member can be reached? Help, I'm extrememly frustrated!
