Thanks so much everyone! Sorry, I checked again and our bylaws say 2/3 of those present. However, one of our board members (who is an attorney) says that b/c we are silent on what constitutes a quorum, we have to assume 51% according to nonprofit law. HELP!

If your bylaws are silent on the procedures for amending the bylaws, then typically the bylaws defer to Robert's Rules. RRO says bylaws can be amended with prior notification and a 2/3 vote of members present and voting. Prior notification means that you make your members aware that on such and such date, your PTO will be voting on the following revisions. You should also make the revisions available to your members (flyer home, newsletter, website, email, presentation at an earlier PTO meeting, etc.)for their consideration, especially if the revision is extensive.
If your bylaw committee has done a careful and thoughtful job of drafting the revisions, you might be able to vote on the entire document at once. Unless you want your members to debate every word in the revision, remind them that the proposed revisions are the result of careful work of dedicated volunteers. If the revisions are voted down, you can ask for new volunteers to form the NEXT bylaw revision committee!
