please help, our bylaws need to be updated. we are trying to get our tax free status but before we can do that we have to be incorporated. we need to revise our bylaws to an incorporated entity. please contact me if you would not mind sharing a copy of your incorporated bylaws.

You are on the right track!! I would really plan to take two good meetings to devote disucussing the amendments. Having the wording drawn up ahead of time is good and letting the membership aware this is what you would like to do.

Okay I found my book here, advance notice is a must. An example would be handing the planned revisions to your members at the first meeting and table the discussion till the next month. If there are no objections at the next meeting, two-thirds vote is needed for the amendment to be approved. It also states oral notice is enough but you and I both know it's better to show members what it is you want to change. If the members need to discuss wording they are not comfortable with then that is worked out at your second meeting (after they have looked of and had time to read the propsed changes). The last time we changed our by-laws we asked parents to sign-in with the knowing that they had a limit of 3 mins. to talk and many even had their "corrects" (LOL) written down for my sake (I was secretary that year). Oh yeah, the two-thirds vote really makes sense for just the membership present and not EVERYONE! That would be impossible! But that was in there too about voting, the 2/3's should just be who is there. AND make sure if you have a constitution that your changes don't effect what the constution says....I had to read that to get to the real info!

I am not as familiar with Robert's Rules as a lot of people that use this board are. We (the PTO officers) brought up at a general meeting that our by laws were in dire need of revising. Formed a committee so everyone was fairly represented, made changes, read the changes before the general members and a few kinks were ironed out and then it was approved. I don't see why they couldn't start working on them now, that way if your general members did want a committee there would be less work. And if they agreed that the officers could make the changes to present it would almost be done. It took us a while to do this.

How to amending By Laws was created by loriemt
Can anyone help me on the proper Robert's Rules on amending by-laws. Our school reopens in Sept. and with-in 2 weeks after that will be our first FSA meeting. We are wondering if over the summer the officers can make some amendments to the b-laws and present them at the Sept. meeting for review and discussion. Then have a vote in Oct. at the General meeting. Is this proper procedure? If it is not please advise of the proper procedure. Thank you.
