How to explain why the need for inc. and 501 c 3

Hi...Maybe your vp would listen if you had an accountant or lawyer come in and talk about it. I know it's easy to think that incorporating for protection may seem a bit much to some but if something ever did happen it would be a godsend.I have read stories of groups that the officers have been sued. As far as non profit there are so mnay groups who think they are since they serve the school...in my district there are 4 elementary schools and three use their schools tax #and everything. The state of new york told me that this was very illegal ....it seems like alot of work but you really need to be recognized by the IRS . In the long run its the best thing to do.Good luck

Our VP is strongly against going through the whole incorporation process and the 501 c 3. The VP stated simply that we are a nonprofit so we should automatically be tax exempt and there is no need for incorporation for protection of the individuals as well as for other reasons as we are only volunteers and no one will sue a volunteer. I have tried numerous ways of explaining that you have to "prove" you area a nonprofit that the IRS doesn't just "take your word on it" and that we are not "a part of the school" that we are considered a separate entity that helps support the school, but I feel like I'm hitting my head against the brick wall. The President I'm hoping will understand better as he has more interest in this. The principal and the treasurer and a few other's on the board all agree we should go ahead an incorporate for later if nothing else and then do the tax exempt. But now the VP says wait, don't do anything etc. I've almost finished the paperwork for the 501 c 3, any way that I can better explain the need or prove it? She doesn't believe our "hick" area needs it and that the other PTO's do not have it in our area. I have not checked but will be checking soon. Thank you for any help.
