Our PTO is going through the tax exempt determination process which requires we be either incorporated or an unincorporated association.

The main benefit I've seen to incorporating is that it provides some legal protection. Can anyone explain this further? It seems to me that anyone initiating a lawsuit could name the PTO Inc. as well as any PTO board, members, volunteers they wanted.
