Sadly, there is nothing in our By-laws that even mentions a quorum. Our By-laws don't cover very much at all, so I guess I don't have much to go on. Except, at the meetings, the president never requested the minutes from the previous meeting read and approved; therefore, I haven't signed any of them as official. Good luck trying to get me to sign them now! I thank you all for your ideas and suggestions. I am so frustrated at this point that I am getting ready to resign. I can't deal with our current president anymore. She's a terrrible leader. I will challenge her in April with the new elections, and hopefully, things will work out better. While I appreciate and sympathize with you, it doesn't strike me as too far out of line, if it were under not-so-suspicious circumstances (from your post it appears that they didn't try to contact you at all-that had they tried, you would've attended the meeting). What I mean by not being too far out is this: Had you been on vacation, the prez called an emergency meeting (I know, I know, but what if...). You obviously wouldn't have known about it and someone would've had to take notes. Now, where you might be able to object is this: Was there a quarum? Depending on how many officers you have on the board...

Check your By Laws & Articles about when and how meetings are set. As secretary, generally you would be calling the meeting at the president's request. Our Articles indicate an agenda must be posted one week before general meetings. Board meetings are different.
Regardless of the written documents, as secretary you should put meeting notification at the top of the next agenda!

Hello, fellow PTO-ers. Here I am again, asking for your advice, ideas, and suggestions... Back in January, some members of the executive committee got together, but I (the secretary) was never told about the "gathering." Afterewards, I was told they had just met, and didn't realize that I was the only exec board member not notified. But then, minutes to the "meeting" were emailed to everyone, with, get this, signed by the person who took them: "Mary JOnes for Sue Smith, Recording SEcretary"...!!! I advised her that she can't do that since I had no idea about the meeting, and she agreed. But, now some members are using technicalities to avoid implementing things that have been voted on, so I would like to give them a taste of their own medicine, and file a formal grievance about this so-called meeting. Without my knowledge of it, doesn't that make it an illegal meeting? And how, and to whom, should I submit my grievance to? Any info anyone could provide me would be most greatly appreciated! Thank you, once again, for all your help!
