PTO Dissolution for Violation of Bylaws

Hi Michaela, If you aren't able to come up with a nominating committee, yes, you are technically in volition of your bylaws, but it would seem to me to make sense to keep moving forward, keep seeking volunteers to run for a board position and try to hold elections, even if you can't fill all positions. We feel your pain! It isn't always easy to get volunteers and many groups struggle with this challenge.

SBWY brings up a good point about re-doing the bylaws. My guess is it wouldn't make sense to re-write the bylaws to just respond to a given situation, but maybe take a look at them and see if language can be tailored to be a little more flexible. So, using the nominating committee as an example, maybe your group should consider language that says the group should have a nominating committee, but in the event that one is not formed, the group shall seek volunteers to come forward and submit their names for office.

Can you change your bylaws to fit your certain situation? Does it say anything in there about the bylaws may be revised or amended by the PTO board to the majority of approval of PTO members present?
I don't think they are set in stone and I do think they should be updated from time and time again.
That is just my thought.

Our PTO is really struggling with volunteers this year. We have had to cancel (or threaten to cancel) several events now due to a lack of volunteers. Elections are coming up this spring, and our bylaws govern that a nomination committee must be formed and submit a slate of nominee names to the membership at least one month prior to elections being held.

We can't get anyone to form the nomination committee.

If we don't, we are in violation of bylaws. What happens next?

The entire board is going to turn over at the end of the year for one reason or another as well. I don't know that anyone will run for any board positions...my assumption is if they don't, we can't have a PTO. But what if just one person runs? Or two? Our Bylaws state the PTO Board consists of a President, VP, Secretary and Treasurer, but does not say that one person can (or can't) act as all five positions. Can we operate as a PTO without all officer positions filled?
