school board trying to control PTO funds

Are you an independent organization? Do you have bylaws? Who is on the PTO Board?

We have a school board member that is trying to control how our PTO distributes its funds among our districts schools. The primary goal of our group has been K-8 cirriculum enrichment but last year the school board member and the supt. asked us if we could take Project Graduation under our organization so that they could benefit from our non profit status. This was right after our group held a very successful fundraiser. The school board member then declared that Project Graduation was considered the "enrichment need" at the High School level and that we were required to give them a portion of any funds raised in the districts name. The same school board member has a child that is a senior this year and would benefit from this arrangement. Do they have any control over how we distribute our money?
