Removal of a board member

Sorry, Didn't explain the toddler at the restraunt clearly. The women went up to the PTO President at the meeting. 15 mins before the meeting was to start and said can we get this meeting going I have a toddler that is 1/2 past nap time. We don't have a problem with the kids. This is the reason we are here after all. Sorry, I didn't explain it well.

I'd look at bylaws an changes. You had me all for ya until the brought the toddler to a meeting part.. so what?

Everything else needs to be addressed but things happen and Volunteers might need to bring a child (I've never been involved with a PTA/PTO etc that's had a probelm with that and probably wouldnt join if they did)

We have a section in our bylaws titled:

Termination of Membership: The Board of Directors and Officers, by affirmative vote of two-thirds (2/3) of all of the members of the Board, may suspend or expel a member, and may, by majority vote of those present at any regularly constituted meeting, terminate the membership of any member. A member may be suspended, expelled, or terminated for gross incompetence, intentional neglect, misconduct, harassment of other members or officers, and failing to meet the clearances required by the school district.

It depends on how you appointed her into her position. If your chairperson positions are obtained by simply volunteering and the Exec board selects people, then it would be fine to speak to her and tell her that she is being relieved of her position as______ and her voting rights removed due to x, y & z reasons.
If she had to be voted in, then even though your bylaws are laid back and it isn't covered, then I would think you would have to vote her out. You would have to let her know that it was suggested that she be removed for x, y, & z reasons, it will be on the agenda at the next meeting and a vote will take place. Majority rules.

Help! We have a women on our board who is a grade level Representative. She serves as a liaison between PTO board and grade level teacher. This is not an Executive board position. The women however has voting rights. We voted at our first meeting to have the bylaws changed. Our PTO is very laid back. We have never had any issues. This women has caused three executive board members to resign. She has publicly yelled at another member who was chairing a committee. (We had a meedting at a restraunt). She also brought her toddler to the meeting.

She has went over the PTO President's head and the board to the Principal because she didn't agree with something. (She wanted to sell products to the school as a fundraiser there are several others on the board whom have already been told no.) School Policy. The women has criticized her child's teacher at the meeting. Her child has been getting in trouble at school and it is the teacher's fault because she doesn't challenge the child.

The last straw came when another member asked for advice via email from the board. Everyone on the board responded. One person on our board agreed with another responded and suggested that we look at the last months minutes concerning the topic. The women responded to the email of the one person to the entire board and verbally attacked her. The women is kinded hearted and a big part of our board she has gone above and beyond. The women has been a great volunteer and part of board for two years whom resigned. The women creating problems is brand new.

I am not intimidated by the women who let's everyone know she is a lawyer. Our bylaws are laid back. They just state the postions of board member's. The only part that has anything about removal is ALL Board Officers must attend monthly meetings on a regular basis. (The board may vote to remove members who are absent from 3 consecutive meetings). We have voted on changing the voting but, we have not given the new bylaws out for this year. Is there anything we can do to have this women removed? Out of 19 members we know of 13 that would like her removed. The other member's are new and some are only aware of the email. I have two member's that have told me that either she goes or they go and it isn't fair of them to ask the PTO to remove someone so they will be resign.

We have had in the past member's in the past who didn't always agree but, we have never had anyone just be plain mean. What can we do?
